Clique Ventures Inc. Terms and Conditions

Effective Date: April 2025 Welcome to Clique! 

These Terms and Conditions govern your use of the Clique mobile application and website (the "Platform"). By accessing or using Clique, you agree to comply with and be bound by these terms. If you do not agree with these terms, please do not use the Platform. 

1. Acceptance of Terms By registering, accessing, or using Clique, you acknowledge that you have read, understood, and agree to these Terms and Conditions, as well as our Privacy Policy. 

2. User Accounts - You must be at least 16 years of age to use Clique. By using this Platform or creating an account, you confirm that you meet this minimum age requirement. We do not knowingly allow anyone under 16 to use Clique or create an account. If we learn that we have collected personal data from someone under the age of 16, we will delete the data and suspend the account. - You are responsible for maintaining the confidentiality of your account credentials. - You agree to provide accurate and up-to-date information. - You may not use another user’s account without permission. 

3. Content and Usage - Clique allows users to upload, share, and interact with content including product recommendations, reviews, media, and discussions. - By uploading content, you affirm that you have the necessary rights to share it and grant Clique a non-exclusive, worldwide, royalty-free license to use, display, and distribute the content. - Users must not upload content that is illegal, offensive, infringing, or violates any third-party rights. - Clique reserves the right to remove or modify content that violates these terms or is deemed inappropriate. 

4. Prohibited Activities Users must not: - Use Clique for any illegal or unauthorized purposes. - Post or distribute malicious software, spam, or unauthorized advertising. - Harass, abuse, or impersonate other users. - Attempt to disrupt or compromise the security of the Platform. - Violate any applicable laws or regulations. 

5. Intellectual Property - Clique and its associated trademarks, logos, and software are owned by or licensed to Clique Ventures Inc. and are protected under applicable intellectual property laws. - Users retain ownership of their uploaded content but grant Clique a right to use it as described in Section 3. 

6. DMCA Policy Clique respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content uploaded to Clique infringes your copyright, you may send a DMCA takedown notice to our designated agent with the following information: (a) your name, mailing address, email and phone number; (b) a description of the copyrighted work and its location on Clique; (c) a statement that you believe in good faith that the use of the material is not authorized by the copyright owner, its agent or the law; (d) a declaration, under penalty of perjury, that the information provided is accurate and that you are authorized to act on behalf of the copyright owner, and (e) a physical or electronic signature of the copyright owner or their representative. DMCA notices should be sent to: info@myclique.shop If you believe your content was mistakenly removed due to a false or incorrect DMCA claim, you may submit a counter-notification that includes: (a) your contact information; (b) identification of the removed content and where it was previously located; (c) a statement, under penalty of perjury, that you have a good faith belief that the content was removed as a result of mistake or misidentification; (d) your consent to the jurisdiction of the relevant courts and agreement to accept service of process from the original complainant; and (e) your signature. Upon receiving a valid counter-notification, we may restore the content unless the original complainant files a court action seeking to restrain its use. Repeated violations of copyright law may result in account termination. 

7. Liability and Disclaimers - Clique is provided on an "as is" basis without warranties of any kind. - We do not guarantee the accuracy, reliability, or safety of user-uploaded content. - We are not responsible for any losses, damages, or disputes that arise from your use of the Platform. 

8. Termination - Clique reserves the right to suspend or terminate accounts that violate these Terms and Conditions. - Users may delete their accounts at any time, but some content may remain visible depending on prior interactions. 

9. Subscriptions - Some features of Clique may be available only through a paid subscription. - Subscriptions automatically renew unless canceled before the end of the billing cycle. - All in-app purchases are handled through the respective app store and are subject to their terms. - Refunds are not guaranteed and will be issued at Clique’s sole discretion or according

to applicable app store policies. 

10. Governing Law These Terms and Conditions shall be governed under the laws of the State of New Jersey. Any disputes shall be resolved in the courts of New Jersey. For international users, you agree that any disputes shall be resolved in accordance with the laws of the State of New Jersey, and you consent to the exclusive jurisdiction of the courts in New Jersey, USA. If local laws in your country require different dispute resolution methods, we will comply with applicable local laws to the extent required. For users located in the European Union (“EU”), these Terms and Conditions shall comply with applicable EU laws, including General Data Protection Regulation (“GDPR”). If you are an EU resident, you may have additional rights regarding data access, correction and deletion. Any disputes arising under these Terms shall be governed by the laws of New Jersey, unless local laws require otherwise.
